Franc Bridal Authorised Stockist Agreement

This Agreement is entered into between Franc Bridal ("Franc Bridal") and the authorised retailer, bridal boutique, or business identified below ("the Stockist").

The purpose of this Agreement is to establish the terms and conditions governing the purchase, promotion, and sale of Franc Bridal products by the Stockist.

By signing this Agreement, both parties agree to be bound by the terms and conditions set out herein.

Samples & Buy-In Conditions

Maintain all sample products to a high standard, ensuring they are cleaned, repaired, and presented appropriately at all times.
Replace samples when required to maintain the quality and presentation standards of the Franc Bridal brand.
Display and promote Franc Bridal products in a professional manner consistent with the brand's image and values.

Wholesale Portal & Order Submission

The Franc Bridal Wholesale Portal is the sole authorised platform for the submission of wholesale orders.
Orders submitted by email, telephone, text message, social media, verbal communication, or any other method will not be accepted unless authorised in writing.
The Stockist is responsible for ensuring all order information is accurate and complete.
Orders are deemed received only after successful submission through the Wholesale Portal and issuance of an order confirmation.
The Stockist accepts responsibility for any errors, omissions, or inaccuracies contained within submitted orders.
Franc Bridal reserves the right to refuse, suspend, or request clarification on incomplete or inaccurate orders.
Franc Bridal may update the Wholesale Portal, ordering procedures, product offerings, pricing, or functionality from time to time.

Orders

All orders must be submitted through the Franc Bridal Wholesale Portal.
Order details should be carefully reviewed before submission.
Standard production lead time is approximately 8 weeks unless a rush order has been approved.
Changes may not be possible once production has commenced and may incur additional charges.
As products are made to order, orders cannot be cancelled, amended, or refunded once production has commenced.

Annual Price Adjustments

Franc Bridal reserves the right to implement an annual price increase effective from 1 January each year or a later advised date.
A minimum of 30 days' notice will be provided before revised pricing takes effect.
Pricing may also be adjusted during the year where necessary due to increases in costs.

Product Discontinuations

Franc Bridal reserves the right to discontinue products or collections at any time.
Where reasonably possible, a minimum of 30 days' notice will be provided.
If a supplier discontinues a fabric, trim, or component without notice, Franc Bridal will make reasonable efforts to source an alternative.
If no suitable alternative can be sourced for an existing order, a full refund will be offered for the affected item.
Franc Bridal cannot be held liable for supplier discontinuations beyond its control.

Accounts & Payment Terms

100% of the order value must be paid prior to production commencing.
Payment must be made through the Wholesale Portal unless otherwise agreed in writing.
Accounts must be maintained in good standing.
Production will not commence until payment has been received in full.

Shipping & Delivery

Orders are shipped via DHL Tracked unless otherwise agreed in writing.
Shipping charges are calculated and paid at the time of order placement.
Delivery timeframes are estimates only and are not guaranteed.
Tracking information will be provided once an order has been dispatched.
Ownership and risk pass to the Stockist upon delivery.
The Stockist is responsible for ensuring delivery information is accurate.
Claims relating to loss, damage, or non-delivery must be reported within 7 days of the expected delivery date.
Franc Bridal will assist with shipping-related issues but is not liable for delays beyond its control.
Any customs duties, taxes, VAT, brokerage fees, or similar charges are the responsibility of the Stockist.

Quality & Returns

All products are handcrafted using delicate fabrics and materials.
Quality concerns must be reported in writing within 7 days of receipt.
Supporting photographs and information must be provided.
Claims submitted after the notification period may not be eligible for review.
Franc Bridal must be given the opportunity to assess and determine the appropriate resolution.

Fabrics & Materials

Exact matches in shade, texture, and finish cannot be guaranteed.
Minor variations between dye lots, fabric batches, trims, and production runs are normal and do not constitute a fault.
Natural variations in handcrafted products are not grounds for return.

Brand Representation & Intellectual Property

Represent the Franc Bridal brand professionally and in accordance with its values.
Use only approved imagery, logos, and marketing materials.
Do not alter, modify, reproduce, or distribute marketing assets without written consent.
All trademarks, logos, product designs, photographs, marketing materials, website content, and intellectual property remain the property of Franc Bridal.
All use of Franc Bridal intellectual property must cease upon termination unless otherwise agreed in writing.

Force Majeure

Franc Bridal shall not be liable for delays or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including supplier shortages, material discontinuations, transportation disruptions, natural disasters, pandemics, industrial disputes, government actions, customs delays, or other unforeseen events.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Entire Agreement

This Agreement constitutes the entire agreement between Franc Bridal and the Stockist and supersedes all prior discussions, representations, understandings, and agreements, whether written or verbal.

Any amendment to this Agreement must be made in writing and agreed to by both parties.

Termination of Partnership

Either party may terminate this Agreement by providing written notice to the other party.

Upon termination, the Stockist agrees to:

Pay all outstanding invoices and orders in full prior to shipment.
Cease representing itself as an authorised Franc Bridal Stockist.
Remove Franc Bridal branding, logos, imagery, and marketing materials from websites and promotional channels within a reasonable timeframe.
Refer future enquiries regarding Franc Bridal products to Franc Bridal.
Sell through any remaining sample inventory in accordance with Franc Bridal brand standards.

Termination shall not affect any rights or obligations accrued prior to the termination date.

Acceptance of Terms

By placing an order through the Franc Bridal Wholesale Portal, the Stockist acknowledges that it has read, understood, and agrees to be bound by the terms and conditions set out in this Agreement.

Submission of an order shall constitute acceptance of these terms and conditions and shall have the same effect as a signed agreement.

Franc Bridal reserves the right to update these terms from time to time. Continued use of the Wholesale Portal and placement of orders following any updates shall constitute acceptance of the revised terms.
